This Registration Rights Agreement (the “Agreement”) is made and entered into as of May 21, 2018 by and among hopTo Inc., a Delaware corporation (the “Company”), and the “Holders” named in that certain Exchange Agreement by and among the Company and the Holders entered into as of the date hereof (the “Exchange Agreement”). Capitalized terms used herein have the respective meanings ascribed thereto in the Exchange Agreement unless otherwise defined herein.
