This Subscription Agreement (this “Agreement”) is being delivered to the purchaser identified on the signature page to this Agreement (the “Subscriber”) in connection with its investment in Green Spirit Industries Inc., a Nevada corporation (the “Company”). The Company is conducting a private placement (the “Offering”) of up to Ten Million Dollars ($10,000,000) (the “Maximum Offering”) of the Company’s shares of common stock, par value $0.001 per share (each a “Share” and collectively, the “Securities”). Each Share has a purchase price of $3.50 per Share. The Shares will not be listed on any securities exchange. The Company’s Shares is currently traded on the OTCPink under the symbol “GSRX.”
