Intellectual Property Purchase Agreement and License dated as of November 30, 2018 (this “Agreement”), by and among Yalla Mediterranean, LLC, a Delaware limited liability company (“Seller”), Yalla Mediterranean Franchising Company, LLC, a Delaware limited liability company (“Purchaser”), and solely for the purposes of Sections 6.2(b) and 6.5 and Article 8, FAT Brands Inc., a Delaware corporation (“FAT Brands”), and solely for the purposes of Sections 4.8 through 4.10, 6.2 and 6.4(b) and Article 7, VPC SBIC I, LP, a Delaware limited partnership (“VPC”).
