This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of October 3, 2019, by and between TAURIGA SCIENCES INC., a Florida corporation, with its address at 555 Madison Avenue, 5th Floor, New York, New York 10022 (the “Company”), and BHP CAPITAL NY, INC., a New York corporation, with its address at 45 SW 9th St., Suite 1603, Miami, Florida 33130 (the “Buyer”).

This Note is a duly authorized Convertible Promissory Note of Tauriga Sciences, Inc., a corporation duly organized and existing under the laws of the State of Florida (the “Company”), designated as the Company’s 10% Convertible Promissory Note due August 5, 2020 (“Maturity Date”) in the face amount of $137,500 (the “Note”).
