THIS NOTE PURCHASE AGREEMENT (“Agreement”) is made as of November 23, 2019 by and among Mateon Therapeutics, Inc., a Delaware corporation (the “Company”), and the lenders (each individually a “Lender,” and collectively the “Lenders”) named on the Schedule of Lenders attached hereto (the “Schedule of Lenders”). Capitalized terms used but not defined herein shall have the respective meanings ascribed to such terms in the Notes (as defined below).
