This Agreement (the “Agreement”) is entered into November 25, 2019, by and between CIPHERLOC CORPORATION (“the Company”) and Andrew Borene (“Executive”). Executive is an at-will employee of the Company. The provisions of the Offer Letter are incorporated by reference into this document. Additionally, the Company wishes to provide Executive with severance benefits if Executive’s employment is terminated in connection with a change in control.
