This Share Exchange Agreement (together with the Exhibits, Schedules and attachments hereto, this “Agreement”) is entered into as of the date first set forth above (the “Effective Date”) by and among (i) Vicapsys Life Sciences, Inc. a Florida corporation (“VLS”); (ii) ViCapsys, Inc., a Florida corporation (“ViCapsys”), (iii) Michael W. Yurkowsky, a Florida resident and the holder, directly or indirectly, of a majority of the issued and outstanding capital stock of VLS (“Yurkowsky”), and (iv) each of the shareholders of ViCapsys set forth on the signature page hereto or who executes a counterpart signature to this Agreement in the form attached hereto as Exhibit C (the “ViCapsys Shareholders”). This License Agreement (“Agreement”) is made as of the 8th day of May, 2013 (“Effective Date”), by and between VICapsys Inc., a Florida corporation, having a principal place of business at 1234 Airport Road Destin Florida 32541 (“Company”) and The General Hospital Corporation, d/b/a Massachusetts General Hospital, a not-for-profit Massachusetts corporation, with a principal place of business at 55 Fruit Street, Boston, Massachusetts 02114 (“Hospital”), each referred to herein individually as a “Party” and collectively as the “Parties”.
