This Securities Purchase Agreement (this “Agreement”) is made and entered into as of April 27, 2020 (the “Effective Date”) by and among Investview, Inc., a Nevada corporation (the “Company”), and DBR Capital, LLC, a Pennsylvania limited liability company (the “Purchaser”). Certain terms used and not otherwise defined in the text of this Agreement are defined in Section 10 hereof.

The undersigned understands that Investview, Inc. (the “Company”) has entered into a Securities Purchase Agreement, dated as of the date hereof (the “Purchase Agreement”), with DBR Capital, LLC (the “Purchaser”), pursuant to which the Company agreed to issue and sell, and DBR Capital agreed to purchase, upon the terms and conditions set forth in the Purchase Agreement, convertible notes of the Company (the “Notes”) convertible into shares of common stock, of the Company (the “Common Stock”).

THIS VOTING AGREEMENT (this “Agreement”), is made and entered into as of this 27th day of April, 2020 by and among Investview, Inc., a Nevada corporation (the “Company”), DBR Capital, LLC, a Pennsylvania limited liability company (the “Investor”), and those certain stockholders of the Company listed on Schedule A (together with any subsequent stockholders, or any transferees, who become parties hereto as “Key Holders” pursuant to Subsections 5.1 or 5.2 below, the “Key Holders,” and together collectively with the Investor, the “Stockholders”).
