This EXECUTIVE INCENTIVE STOCK OPTION AGREEMENT (the “Agreement”) is between Reed’s Inc., a Delaware corporation (the “Company”), and _____________ (the “Optionee”) and is made and effective as of __________ 2020 (the “Effective Date”). Capitalized terms not defined herein shall have the meanings ascribed to them in the Reed’s, Inc. Second Amended and Restated 2017 Incentive Compensation Plan, as amended through the date hereof (the “Plan”).

This Amended and Restated Employment Agreement (the “Agreement”) is dated June 24, 2020, by and between Reed’s, Inc., a Delaware corporation (“Reed’s” or the “Company”), and Norman E. Snyder, Jr. (the “Executive”). This Agreement amends, replaces and supersedes in its entirety that certain employment agreement by and between Executive and the Company dated September 30, 2019 (“Original Agreement”).
