This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of August 7, 2020, by and between SIMPLICITY ESPORTS AND GAMING COMPANY, a Delaware corporation, with headquarters located at 7000 W. Palmetto Park Rd., Suite 505, Boca Raton, FL 33433 (the “Company”), and FIRSTFIRE GLOBAL OPPORTUNITIES FUND, LLC, a Delaware limited liability company, with its address at 1040 First Avenue, Suite 190, New York, NY 10022 (the “Buyer”).

This Employment Agreement (the “Agreement”) is made and entered into as of July 29, 2020 (the “Effective Date”), by and between Roman Franklin, an individual, (the “Executive”) and Simplicity Esports and Gaming Company, a Delaware corporation (the “Company”). The Company and the Executive may be referred to herein individually as a “Party” and collectively as the “Parties.”
