This Asset Purchase Agreement (this “Agreement”) dated as of September 1, 2020 is entered into between Eliot’s Adult Nut Butter, LLC, an Oregon limited liability company (“Seller”) Michael Kanter, Tyler Kirk, Resolut Partners LLC, and Burst Management LLC (the “Holders”) and Verus International, Inc., a Delaware corporation (“Buyer”). Capitalized terms used in this Agreement have the meanings given to such terms herein, as such definitions are identified by the cross-references set forth in Exhibit A attached hereto.
