This Unit Purchase Agreement (this “Agreement”), dated as of February 1, 2021, is entered into between Jose H. Vazquez, Bart D. Grasso and Frank D.M. Strachan IV (each, a “Seller,” and together, the “Sellers”), and Ocean Power Technologies, Inc., a Delaware corporation (“Buyer”). Capitalized terms used in this Agreement have the meanings given to such terms herein, as such definitions are identified by the cross-references set forth in Exhibit A attached hereto.
