This STOCK PURCHASE AGREEMENT (this “Agreement”) is dated as of May 7, 2021 among Proof Authentication Corporation, a Delaware corporation (“Purchaser”), and Document Security Systems, Inc., a New York corporation (“Seller”), the sole stockholder of DSS Digital Inc., a New York corporation (the “Company”).
