THIS NOTE PURCHASE AGREEMENT (“Agreement”) is made as of August 4, 2021 by and among Oncotelic Therapeutics, Inc., a Delaware corporation (f/k/a Mateon Therapeutics, Inc. and now the “Company”), and the lender (each individually a “Lender,” and collectively the “Lenders”) named on the Schedule of Lenders attached hereto (the “Schedule of Lenders”). Capitalized terms used but not defined herein shall have the respective meanings ascribed to such terms in the Notes (as defined below).
