THIS TAX MATTERS AGREEMENT (this “Agreement”) is entered into as of _____, 2021, by and between Vinco Ventures, Inc., a Nevada corporation (“Vinco”), and Cryptyde, Inc.., a Nevada corporation and wholly owned Subsidiary of Vinco (“Cryptyde”). Each of Vinco and Cryptyde is sometimes referred to herein as a “Party” and, collectively, as the “Parties.”
