THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of April 1, 2022, by and among Athlon Holdings, Inc., a Tennessee corporation (the “Company”), The Arena Group Holdings, Inc., a Delaware corporation (“Buyer”), and the sellers identified on Exhibit A (each, a “Seller” and collectively, the “Sellers”).
