This Asset Purchase Agreement (this “Agreement”) is made and entered into as of this 19th day of April, 2022 (the “Effective Date”), by and among PARABOLIC TECH DMCC, a Dubai corporation (“Buyer”) and GLOBAL TECH INDUSTRIES GROUP, INC., a Nevada corporation (“Seller”).

THIS ASSIGNMENT AND ASSUMPTION AGREEMENT (this “Agreement”), dated April 19, 2022, is between GLOBAL TECH INDUSTRIES GROUP, INC. (“Assignor”), and PARABOLIC TECH DMCC (“Assignee”). Assignor and Assignee are sometimes collectively referred to as the “Parties” and individually referred to as a “Party”.

INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT (the “IP Assignment”), dated as of April 19, 2022, between GLOBAL TECH INDUSTRIES GROUP, INC., a corporation organized under the laws of the state of Nevada (“Assignor”) and PARABOLIC TECH DMCC, a Dubai corporation organized under the laws of Dubai (“Assignee”). Capitalized terms used herein without definition shall have the meanings ascribed them in the Asset Purchase Agreement.
