This Equity securities PURCHASE AGREEMENT (this “Agreement”), dated as of May 16, 2022 is made and entered into by and among CIPHERLOC CORPORATION, a Delaware corporation (“Purchaser”), SIDECHANNEL, INC., a Massachusetts corporation (the “Company”), the Persons listed as Sellers on the signature pages hereof (each a “Seller” and collectively the “Sellers”) and BRIAN HAUGLI as the Sellers’ representative (the “Seller Representative”).
