This Subscription Agreement (this “Agreement”) is made and entered into as of June 29, 2022, by and among Sunnyside Bancorp, Inc., a Maryland corporation (the “Company”), and VECTA PARTNERS LLC, a Delaware limited liability company (“Purchaser”). Certain terms used and not otherwise defined in the text of this Agreement are defined in Section 9 hereof.
