This Indemnification Agreement (this “Agreement”) is made as of November 18, 2022 by and between Motorsport Games Inc., a Delaware corporation (the “Company”), and John Delta (“Indemnitee”). This Agreement supersedes and replaces any and all previous Agreements between the Company and Indemnitee covering the subject matter of this Agreement. Certain capitalized terms used herein are defined in Section 2 hereof.
