This Limited Liability Company Agreement (together with the schedules and exhibits attached hereto, and as amended, restated, supplemented or otherwise modified from time to time hereafter, this “Agreement”) of MDB Capital Holdings, LLC, a Delaware limited liability company (the “Company”), effective as of August 10, 2021 (the “Effective Time”) is entered into by Christopher Marlett, Anthony DiGiandomenico, and each other Person (as defined in Section 1.1 hereto) who becomes a Shareholder (as defined in Section 1.1 hereto) as provided herein. Capitalized terms used in this Agreement and not otherwise defined have the meanings set forth in Section 1.1 hereto.
