RESTATED AND AMENDED STOCKHOLDER PROTECTION RIGHTS AGREEMENT (as further amended from time to time, this “Agreement”), dated as of February 11, 2023, between Research Frontiers Incorporated, a Delaware corporation (the “Company”), and Continental Stock Transfer & Trust Company, a New York banking corporation, as Rights Agent (the “Rights Agent,” which term shall include any successor Rights Agent hereunder).
