THIS OPERATING AGREEMENT (the “Agreement”), effective March 27, 2023 (the “Effective Date”), is made and entered into by and among those Persons (i) executing this Agreement or joinder thereof, (ii) who are accepted by Strata Real Estate Opportunity Fund I Managers LLC as the manager of the Company (the “Manager”), and (iii) who by their signatures hereto hereby represent and agree to all of the terms and conditions set forth herein (each a “Member,” and collectively, the “Members”). This Agreement sets forth the rights, duties, obligations, and responsibilities of the Members and the Manager with respect to the Company. The Members and the Manager hereby agree as follows:
