This Asset Purchase Agreement (this “Agreement”) is entered into as of the date first set forth above (the “Closing Date”) by and between (i) MDwerks, Inc., a Delaware corporation (the “Buyer”) and (ii) Automotive Transmission Engineering Corp., a Colorado corporation (“Seller”).
