THIS LOAN AND TRANSFER AGREEMENT (this “Agreement”) is made and entered into effectively as of July 31 2023, 2023 (the “Effective Date”), by, between and among [________] (the “Lender”), Kernel Group Holdings, Inc., a Cayman Island exempted company (“SPAC”) and VKSS Capital, LLC, a Delaware limited liability company (“Sponsor” or “Borrower”). Lender, SPAC and Sponsor are referred to in this Agreement individually as a “Party” and collectively as the “Parties.”
