This Share Exchange Agreement, dated as of October 1, 2014, is made by and among DiamiR Biosciences Corp., a Delaware corporation (the “Acquiror Company”), DiamiR, LLC, a Delaware limited liability company (the “Acquiree Company”), and each and all Members of the Acquiree Company (each a “Member” and collectively “Members”, as such term is defined in the Limited Liability Company Agreement of the Acquiree Company).
