This EMPLOYMENT AGREEMENT (“Agreement”) is made effective as of the 16th day of October 2023, by and between Sunworks, Inc., a Delaware corporation (the “Company”), and Mark Trout, an individual (“Executive”), and is made with respect to the following facts:
