The undersigned, New Century Logistics (BVI) Limited, a British Virgin Islands company (the “Company”), hereby confirms its agreement (this “Agreement”) with the several underwriters named in Schedule A hereto (collectively the “Underwriters,” and each, an “Underwriter”), for which Prime Number Capital LLC acting as the representative (in such capacity, the “Representative”), to issue and sell an aggregate of 2,500,000 ordinary shares (the “Firm Shares”) of the Company, of no par value (the “Ordinary Shares”).
