THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) is dated as of November 13, 2023 (the “Effective Date”) among (a) 22NW, LP (“22NW”), in its capacity as administrative agent and collateral agent (“Agent”), (b) 22NW, as a lender, (c) JFL Capital Management LLC (“JFL”) as a lender (22NW, in its capacity as a lender hereunder, JFL and each of the other “Lenders” from time to time party hereto are referred to herein collectively as the “Lenders” and each individually as a “Lender”), and (d) Anebulo Pharmaceuticals, Inc., a Delaware corporation (the “Borrower”).
