This Share Purchase Agreement (this “Agreement”) is entered into on December 20, 2023, by and among Dato’ Sri Pang Chow Huat, a resident of Malaysia I/C. No. ______ and or vehicles managed by him (the “Purchaser”) and Graphjet Technology Sdn. Bhd., a Malaysian private limited company, (the “Company”), and Energem Corp., a special purpose acquisition company formed as a Cayman Islands exempted company (“Energem,” together with Purchaser and the Company, the “Parties,” and each, a “Party”).
