This subscription plus these terms and conditions, the completed and executed schedules and appendices attached hereto are collectively referred to as the “Subscription Agreement.” The undersigned (the “Purchaser”) hereby irrevocably subscribes for such number of shares of common stock (the “Common Shares”) and/or Pre-Funded Warrants (“Pre-Funded Warrants”) to purchase shares of common stock of the Company (the “Pre-Funded Warrant Shares”), as stated on the details page above at a purchase price equal to the Subscription Price for the Common Shares and/or the Pre-Funded Warrants. The Common Shares and Pre-Funded Warrants, and Pre-Funded Warrant Shares are collectively referred to herein as the “Securities”).
