This ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of October 30, 2024 (the “Effective Date”), is entered into by and between LASER PHOTONICS CORPORATION, a Delaware corporation or its assigns (“Buyer”), and CONTROL MICRO SYSTEMS, INC., a Florida corporation (“Seller”). Each of Buyer and Seller is sometimes each referred to in this Agreement as a “Party”. Buyer and Seller are sometimes referred to in this Agreement as, collectively, the “Parties”.
