This Transfer, Assignment and Assumption Agreement (the “Agreement”) dated as of October 31, 2024 (the “Effective Date”) by and between MGO Global Inc., a Delaware corporation (“Assignor”), and Americana Liberty LLC, a Delaware limited liability company (“Assignee”).
