THIS AGREEMENT is made and entered into on March __, 2011 between RBC FUNDS TRUST, a Delaware statutory trust (“Trust”), on behalf of its series listed on Exhibit A (each of the Series referred to herein as a “Fund” and collectively the “Funds”), and RBC Global Asset Management (U.S.) Inc., a Minnesota corporation (“Adviser”).

This Agreement is made by and between RBC Funds Trust, a Delaware statutory trust (the “Trust”) on behalf of each of its series as listed on Schedule A (each a “Fund” or collectively, “Funds”) and RBC Global Asset Management (U.S.) Inc., a Minnesota corporation (“RBC GAM”), effective March ___, 2011.
