I, B. Ben Baldanza, in consideration of and subject to the performance by Spirit Airlines, Inc., a Delaware corporation (together with its affiliates, the “Company”), of its material obligations under the Amended and Restated Employment Agreement, dated as of January 8, 2014 (the “Agreement”) (including, without limitation, the grant of the 2014 Retention RSUs (as defined in the Agreement) and the increased severance payments described in the Agreement (the “Special Retention Compensation”)), do hereby release and forever discharge as of the date hereof the Company and all present and former directors, officers, agents, representatives, employees, successors and assigns of the Company and its direct or indirect owners (collectively, the “Released Parties”) to the extent provided below.
