This Agreement made as of the 26th day of August, 2013 (“Agreement”), by and between WILLIAM TAY, with an address at 2000 Hamilton Street, #943, Philadelphia, PA 19130 ("Seller"), PACIFIC QUEST VENTURES CORP., a Delaware corporation (the “Corporation”), of the same address as the Seller, and SURPURE LLC, a Wyoming limited liability company, with an address at 222 S Main Street, Suite 500, Salt Lake City, UT 84101 ("Purchaser").
