THIS AGREEMENT AND PLAN OF MERGER (the “Agreement”), is made and entered into as of September 30, 2014, by and among Mount Knowledge Holdings, Inc., a Nevada corporation (“Parent”), MK Merger Acquisition Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”), Access Alternative Group S.A., and Civergy, Inc., a Delaware corporation (the “Company”).
