This is an amendment and restatement of the $30,000.00 promissory note issued on June 23, 2013, by and between NutraFuels, Inc., a Florida corporation formerly known as NutraFuels, LLC, a Florida limited liability company to Craig Hetherington, an individual (the “Original Promissory Note”). This Amended and Restated Promissory Note (the “Amended and Restated Promissory Note”) is effective on June 23, 2015.

This is an amendment (“Amendment”) to an agreement (the “Original Agreement”) dated July 17, 2014, by and between NutraFuels, Inc., a Florida corporation (“NutraFuels”) and Sullivan Media Group, Inc., a Nevada Corporation (“SMG”). For purposes of this Amendment, references to “Agreement” herein include the Original Agreement and Exhibit A thereto.
