THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of August 4, 2016, is entered into by and among GLOBAL BOATWORKS HOLDINGS, INC., a Florida corporation (“Company”), GLOBAL BOATWORKS LLC, a Florida limited liability company (“Boatworks,” and together with Company, “Borrower”), and TONAQUINT, INC., a Utah corporation, its successors and/or assigns (“Investor”).
