This FIFTH AMENDED AND RESTATED INDENTURE (this “Indenture”), dated as of April 1, 2013, is among Diamond Resorts Issuer 2008 LLC, a Delaware limited liability company, as issuer (the “Issuer”), Diamond Resorts Financial Services, Inc.
