This AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”), effective August 4th, 2022 (the “Effective Date”), is between Home Street, Inc. HomeStreet Bank (“Bank”) and its affiliate or subsidiary organizations and its successors and assigns (collectively, the “Company”) and John M. Michel (“Executive” or “Employee”) (collectively, the “Parties”). This Agreement supersedes, amends and restates that certain executive employment agreement dated May 11, 2022, between the parties (the “Prior Employment Agreement”). In consideration of the foregoing promises and for other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the Company and Executive hereby agree to enter into an employment relationship in accordance with the terms and conditions set forth below.
