This SHARE PURCHASE AGREEMENT (“Agreement”) is entered into and made effective as of the 22nd day of August, 2012 by and between First Liberty Power Corp., a Nevada Corporation ("First Liberty" or “Buyer”), Group8 Minerals, a Nevada Corporation ("Group8”), and Group8 Mining Innovations, a Nevada Corporation (“G8MI” or “Seller”), the sole Shareholder of Group8 (singularly, a “Party” and collectively, the “Parties”).
