THIS PURCHASE AND SALE AGREEMENT (“Contract”) is made as of this 26th day of May 2015 (the “Effective Date”) by and between Cardinal Plaza, LLC, Franklinton Square, LLC, and Nashville Commons, LLC, each a North Carolina limited liability company, (collectively referred to herein as “Seller”), and WHLR-Cardinal Plaza, LLC, a Delaware limited liability company, WHLR-Franklinton Square, LLC, a Delaware limited liability company, and WHLR-Nashville Commons, LLC, a Delaware limited liability company, (collectively referred to herein as “Purchaser”).
