This Purchase and Sale Agreement (this “Agreement”), is dated as of February 2, 2024 (the “Execution Date”), by and among PEP Henry Production Partners LP, a Delaware limited partnership (“PEP Henry”), PEP HPP Jubilee SPV LP, a Delaware limited partnership (“Jubilee”), PEP PEOF Dropkick SPV, LLC, a Delaware limited liability company (“PEOF Dropkick”), PEP HPP Dropkick SPV LP, a Delaware limited partnership (“HPP Dropkick”), HPP Acorn SPV LP, a Delaware limited partnership (“Acorn” and, together with PEP Henry, Jubilee, PEOF Dropkick and HPP Dropkick, “Seller”, each a “Seller Party”), and Vital Energy, Inc., a Delaware corporation (“Purchaser”). Seller, on the one hand, and Purchaser, on the other hand, are referred to herein individually, as a “Party” and collectively, as the “Parties”.
