Post Holdings, Inc. grants a Stock Appreciation Right (the “SAR”) to ___________________ (“Grantee”), effective ______________ (“Grant Date”), to receive a cash amount upon exercise of such SAR, pursuant to the Post Holdings, Inc. 2012 Long-Term Incentive Plan (the “Plan”) and subject to all terms and conditions hereafter provided in this Stock Appreciation Right Agreement (this “Agreement”).
