THIS EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into as of this 21st day of November, 2014, by and between Pro-Dex Riverside, LLC, a Delaware limited liability company (the “Company”), and Scott C. Robertson, an individual (“Robertson”). The Company and Robertson may collectively be referred to herein as the “Parties”.

This LOAN PURCHASE AND SALE AGREEMENT (“Agreement”) is entered into as of the date of the last signature below, among Vermillion State Bank (“Seller”), Pro-Dex Sunfish Lake, LLC (“Buyer”), Heron Enterprises, LLC (“Heron”), and Scott Robertson (“Robertson”). Seller, Buyer, Heron, and Robertson are referred to herein collectively as the “Parties.”

This Debt Purchase Agreement (“Agreement”) is entered into as of the date of the last signature below (the “Closing Date”), by and among Pro-Dex Sunfish Lake, LLC (“Buyer”), Heron Enterprises, LLC (“Heron”) and Scott C. Robertson (“Robertson” and, together with Heron, jointly and severally, individually and collectively, “Seller”). Buyer and Seller are individually referred to in this Agreement as a “Party” and collectively as the “Parties”.
