THIS THIRD AMENDMENT TO AMENDED AND RESTATED CRUDE OIL ACQUISITION AGREEMENT (this “Amendment”) made and effective as of January 15, 2014 (the “Effective Date”) is entered into by and between Morgan Stanley Capital Group Inc. (“MSCG”) and PBF Holding Company LLC (“PBF”), each sometimes referred to herein as a “Party” and, collectively, as the “Parties.”
