This Exclusive License and Use Agreement for the United States of America, Canada and Mexico (thetthis "Agreement") is made and effective as of February 22,2012 (the "Effective Date"), between Green Ecology Co., Ltd., a foreign cmporation with a mailing address of P.O. BOX 957, Offshore Incorporations Centre, Road Town, Tortola, British Virgin Islands, and its shareholders, officers, affiliates, assigns and licensors, including but not limited to E-Sunscience, Ltd. (collectively referred to herein as "Licensor"), and Sunrise Technology, LLC, a Michigan limited liability company with a resident agent located at 132 North Old Woodward in Birmingham, Michigan, and its members, managers, affiliates and assigns (collectively referred to herein as "Licensee").
