This THIRD AMENDMENT TO INDENTURE, dated as of November 2, 2022 (this “Amendment”), is entered into among OPORTUN RF, LLC, a special purpose Delaware limited liability company, as issuer (the “Issuer”), and WILMINGTON TRUST, NATIONAL ASSOCIATION, a national banking association with trust powers, as indenture trustee (in such capacity, the “Indenture Trustee”), as securities intermediary (in such capacity, the “Securities Intermediary”) and as depositary bank (in such capacity, the “Depositary Bank”).

This Amendment No. 1 to the Credit Agreement (this “Amendment”), dated as of November 22, 2022, is entered into by and among Oportun Financial Corporation, a Delaware corporation (the “Borrower”), the Lenders from time to time party thereto, Wilmington Trust, National Association, in its capacity as administrative agent (the “Administrative Agent”) and Wilmington Trust, National Association, in its capacity as collateral agent (the “Collateral Agent”).
