This Asset Purchase Agreement (this “Agreement”) is dated August __, 2016 (the “Effective Date”), and is between RP Capital Group, Ltd. a United Kingdom entity (“RP” or “Seller") and Michael James Enterprises, Inc., a Delaware corporation (“Buyer”).
